1. Who you are contracting with
Agora ("Agora", "we", "us") provides an online workspace for students working on independent research projects. These Terms & Conditions form an agreement between you and Agora. If you use Agora on behalf of a school, club or other organisation, you confirm you have authority to accept these terms on its behalf. If you are using Agora as an individual, you confirm you are old enough to enter this agreement in your country, or that a parent or guardian has agreed to it for you.
2. Acceptance
By creating an account or continuing to use Agora, you agree to these terms. If you do not agree, please stop using the service.
3. What Agora provides
Agora gives you project workspaces containing notes, sources, citations, uploaded files, team chat, meeting transcripts, community channels, and Odeon, an AI research assistant that answers questions using the content in your workspace. Free accounts include a limited monthly allowance of Odeon messages; Premium plans include a larger allowance, as described on our pricing page.
4. Your account
Keep your sign-in credentials confidential — you are responsible for activity that happens under your account. Provide accurate information and keep it up to date.
5. Acceptable use
You must not misuse Agora. In particular, you must not:
- use Agora for anything unlawful, or to harass, threaten or harm other students;
- commit fraud, send spam, or impersonate another person;
- upload or share content you do not have the rights to, or that infringes anyone's intellectual property;
- interfere with the security of the service — no malware, probing, scraping, or attempting to bypass technical limits;
- reverse engineer, resell or redistribute the service.
6. Odeon and AI-generated content
Odeon is an assistant, not an author or a source. You are responsible for the prompts you send, for how you use the output, and for verifying accuracy before relying on it. AI output can be wrong, incomplete or out of date, and it is not a substitute for professional, medical, legal or academic advice.
You must not use Odeon to generate illegal content, hate speech, malware, deceptive material, or work you intend to pass off in violation of your school's or competition's academic-integrity rules. Agora is designed to help you organise and understand your own research, not to produce work you did not do.
You keep the rights to the content you put into Agora, and as between you and us you own the outputs generated from it, to the extent such outputs are capable of ownership. You grant us a limited licence to host and process your content solely to operate the service.
We may remove or restrict content, refuse or filter outputs, and suspend accounts where content breaches these terms. If you believe content on Agora infringes your rights, contact us and we will review it; we may terminate accounts of repeat infringers.
7. Intellectual property
Agora retains ownership of the service, including its software, design, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use Agora within the plan you have selected.
8. Service level
We work to keep Agora available and reliable, but we do not guarantee uninterrupted or error-free performance. To the fullest extent permitted by law, we disclaim implied warranties, including merchantability and fitness for a particular purpose.
9. Payment and subscription terms
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Payment, billing, renewal, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms. Monthly and yearly Premium plans renew automatically at the price shown at checkout until cancelled. The 3-month and 6-month passes are single payments that do not auto-renew. Monthly and yearly Premium plans include a 7-day free trial. A valid payment method is required to start the trial. No charge is made during the trial period; at the end of the seventh day the plan bills automatically at the price shown at checkout and continues to renew until cancelled. You can cancel at any time before the trial ends to avoid being charged. Card and payment details are collected and stored by Paddle under its PCI-DSS-compliant systems — Agora never receives, processes or stores your card details.
10. Suspension and termination
We may suspend or terminate access where there is a material breach of these terms, non-payment, a security or fraud risk, or repeated or serious policy violations. You can stop using Agora at any time. When access ends, you may export your workspace content for a reasonable period before it is deleted.
11. Liability
To the fullest extent permitted by law, our aggregate liability is limited to the fees you paid in the twelve months before the claim, and we exclude indirect, consequential or special damages, including loss of profits, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury where the law does not allow it.
12. Indemnity
You agree to indemnify Agora against claims arising from your content, your unlawful use of the service, or your breach of these terms.
13. Changes, assignment and governing law
We may update these terms; material changes will be notified in the app. You may not assign this agreement without our consent; we may assign it in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond its reasonable control. These terms are governed by the laws of the seller's jurisdiction, and disputes will be resolved in its courts.
